Anthropic's seven co-founders will hold 50.1% of the company's voting power after it lists, through a new entity called the Founder LLC, according to a draft IPO filing that Reuters says it reviewed. Anthropic declined to comment to Reuters, and the filing has not been published in final form.
Under the plan as reported, the co-founders decide by majority vote how to cast one Class F share. It carries 50.1% of the vote on major decisions, including the selection of some board members. Publicly sold Class A stock carries one vote per share, and strategic partners' shares carry minimal voting power, according to The Next Web.
The filing describes the founders as people "distinctly equipped to be stewards of our mission". The group includes chief executive Dario Amodei, his sister and president Daniela Amodei, and Tom Brown, along with Chris Olah. Membership ends on departure, death, excessive share sales or termination for cause, according to the reported filing.
Anthropic would remain a Delaware public benefit corporation, and the filing warns that its decisions may conflict with shareholders' financial interests and could harm the value of Class A stock, according to The Next Web. All seven co-founders have pledged 80% of their Anthropic stakes to charity, the reports say.
The board would include Dario Amodei, Daniela Amodei, Tom Brown and one unnamed director elected by Class F and Class A holders. Four more seats go to the Long-Term Benefit Trust, which includes Ben Bernanke. Reported 2025 pay was about $18 million for Dario Amodei and $16.4 million for Daniela Amodei.
