Anthropic asks shareholders for founder voting control before IPO

The Information reported that seven co-founders would hold 50.1% of voting power through a separate company, with Dario Amodei owning about 2% of Anthropic.

Anthropic is asking shareholders to approve a structure that would give its seven co-founders a combined 50.1% of voting power on most corporate matters. The Information reported the proposal on Thursday, under three bylines.

The founders would hold special voting shares through a separate limited liability company, letting them keep control despite small economic stakes, according to Wall St Engine, an account that summarised the report. It put Dario Amodei's stake at about 2%.

Julia Hornstein, one of three reporters on the story, wrote on X that the arrangement is "kinda like" Palantir's founder-control structure. Amir Efrati, The Information's executive editor, wrote that the co-founders would keep majority voting power even if they sell down their stakes.

Anthropic's Long-Term Benefit Trust would continue to appoint most board members under the proposal, and the founders' board seats would rise from two to three, according to the same summary. Employees would also receive a class of stock that could break ties on some questions.

Anthropic was valued at $965 billion in May, and is reportedly targeting at least $1.5 trillion in an IPO now expected around late October or November. No other outlet has matched the report, and the paper has not seen the proposal itself.
